1. Who we are
NWave Cloud is a managed Oracle APEX hosting service operated from the European Union by Next Wave Technologies for software development, IT services and trade ("NWave Cloud", "we", "us" or "our").
Public website content is available at https://nwavecloud.com/. Registration, purchasing, billing and service management are handled through the NWave Cloud console at https://console.nwavecloud.com/.
2. Acceptance of these Terms
By accessing the website, creating an account, purchasing a hosting plan or using NWave Cloud services, you agree to these Terms. If you are using the services on behalf of a company or other legal entity, you confirm that you have authority to bind that entity.
If you do not agree with these Terms, you must not use the services.
3. Services
NWave Cloud provides managed Oracle APEX hosting and related operational services. Depending on the selected plan or agreement, services may include Oracle APEX hosting, ORDS configuration, database connectivity, Oracle Cloud Infrastructure deployment paths, dedicated cloud environments, custom domain and TLS setup, monitoring checks, backup processes, managed updates, migration support and AI integration readiness.
Specific service features, limits, pricing, support response expectations and optional add-ons are shown in the console, order flow, invoice, statement of work or other written agreement.
4. Accounts and security
You must provide accurate and current account, billing and contact information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify us promptly at support@nwavecloud.com if you suspect unauthorized access, credential compromise or security issues affecting your hosted environment.
5. Purchases, subscriptions and billing
Hosting services may be purchased as recurring subscriptions, one-time services or custom arrangements. You agree to pay the fees, taxes and charges shown during checkout or agreed in writing.
Unless stated otherwise, subscription fees are billed in advance and renew automatically until cancelled. You authorize us and our payment providers to process payments using the payment method supplied through the console or another approved payment process.
If payment fails or remains overdue, we may suspend or restrict services after reasonable notice. You remain responsible for unpaid amounts and any applicable taxes.
6. Cancellations and refunds
You may cancel a subscription through the console where available or by contacting support. Unless a plan, invoice or written agreement says otherwise, cancellation stops future renewals and access continues until the end of the paid billing period.
Fees already paid are generally non-refundable because hosting capacity, licensing, setup and operational work may be reserved or performed in advance. We may consider refund or credit requests case by case where required by law or where service circumstances justify it.
7. Customer content and data
You retain ownership of applications, database content, files and other materials you provide or host through the services ("Customer Content"). You grant us the limited rights needed to host, operate, secure, back up, troubleshoot, migrate and support the services.
You are responsible for ensuring that Customer Content, end-user data and application behavior comply with applicable laws and do not infringe third-party rights.
8. Acceptable use
You must not use the services to host illegal content, distribute malware, send spam, attack or scan third-party systems without authorization, infringe intellectual property, violate privacy rights, bypass security controls, overload shared infrastructure or interfere with other customers.
We may suspend or remove access where necessary to protect the platform, other customers, third parties or legal compliance.
9. Availability, support and maintenance
NWave Cloud is designed for production Oracle APEX workloads. The public website may refer to a "99.99% uptime target"; this is an operational target and not a guaranteed service level agreement unless a separate written SLA expressly says so.
Planned maintenance, emergency maintenance, cloud provider issues, third-party services, customer-side changes, DNS issues, force majeure events and events outside our reasonable control may affect availability.
10. Backups and recovery
Backup features depend on the selected plan and environment. Where backups are included, we operate backup processes and checks intended to support recovery, but you remain responsible for keeping independent copies of critical application exports, credentials, source files and business data where appropriate.
11. Third-party services
The services may rely on or integrate with third-party products and providers, including cloud infrastructure, payment processors, domain/DNS providers, email services, AI providers, Oracle software and related tooling. Third-party services may be subject to their own terms, licenses, limits and availability.
12. Oracle software and customer licensing
Oracle APEX, Oracle Database, ORDS and related Oracle technologies are owned by Oracle or its licensors. Unless expressly included in a written plan or agreement, you are responsible for any Oracle licenses, usage rights, terms or restrictions that apply to your workload.
13. Intellectual property
The NWave Cloud website, brand, service design, documentation, software, scripts and platform materials are owned by us or our licensors. You may not copy, resell, reverse engineer or misuse them except as permitted by law or by written agreement.
14. Disclaimer
The website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that the services will be uninterrupted, error-free, free of harmful components or suitable for every specific purpose.
15. Limitation of liability
To the fullest extent permitted by applicable law, NWave Cloud will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, lost revenue, loss of goodwill, data loss or business interruption.
Nothing in these Terms limits liability that cannot legally be limited, including liability for intentional misconduct or rights that consumers may have under mandatory law.
16. Termination
We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, misuse the platform or if we are required to do so by law. You may stop using the services at any time, subject to payment obligations and cancellation terms.
17. Complaints and dispute resolution
Complaints may be sent to support@nwavecloud.com. Where Croatian consumer protection rules apply, consumer complaints will be answered within the legally required period.
The European Commission Online Dispute Resolution platform was discontinued on 20 July 2025. EU consumer redress information and dispute resolution body listings are available through the European Commission consumer redress site at https://consumer-redress.ec.europa.eu/.
18. Governing law
These Terms are governed by the laws of the Republic of Croatia, without prejudice to mandatory consumer protection rights that may apply under the laws of your country of residence. Disputes will be handled by the competent courts in Croatia unless mandatory law provides otherwise.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the website, console or email where appropriate. Continued use of the services after changes take effect means you accept the updated Terms.
